Your Role at impact.com
The Corporate Counsel is to provide legal advice on a broad range of corporate, commercial, and privacy matters. The Corporate Counsel is expected to work closely with key stakeholders across the Company, to play an important role in executing on strategic business goals and initiatives, and to provide practical legal advice to internal clients.
What You'll Do
- Draft, review, and negotiate complex commercial agreements, including Master Service Agreements, Data Processing Agreements, vendor agreements
- Partner cross-functionally with sales, customer success, finance, to accelerate deal cycles, streamline negotiations, and ensure commercial agreements align with Company business objectives
- Advise on data protection and compliance considerations, including within the context of customer and vendor contracts, ensuring risks are appropriately managed
- Drive legal scalability and efficiency by developing, updating, and maintaining standard contract templates, negotiation playbooks, and self-service resources for the commercial team
- Prepare, review and update, as applicable, corporate policies and procedures for regulatory compliance
- Cook with outside counsel, including managing services and expenses: partner when needed to handle complex legal and regulatory issues spanning a variety of topics
- Support the broader legal department on key corporate initiatives, including providing auxiliary support for international expansion, corporate governance matters, and strategic transactions (e.g., M&A due diligence or integration) as needed
- Perform ad-hoc legal administrative tasks as needed
What You Bring
- JD and admission to a state bar in the jurisdiction in which you practice in good standing (or eligibility to practice as an in-house counsel based upon your state bar qualification), with preference for New York Bar
- 3+ years of experience with a strong preference for prior in-house experience at a technology/SaaS company, or dedicated commercial/tech-transactions practice at a reputable law firm
- Strong experience in handling corporate matters, and drafting and negotiating complex SaaS Agreements and supporting commercial teams
- Experience in litigation or dispute management, with a proven ability to actively handle and resolve legal and contractual disputes as they arise
- An independent, self-motivated operator who thrives in a fast-paced environment, balances competing priorities seamlessly, and maintains a positive, service-oriented attitude toward internal stakeholders
- A self-starter with a great work ethic. A highly analytical thinker who approaches legal risks with a pragmatic, problem-solving mindset and superior decision-making skills
- Extremely detail-oriented and organized, with hands-on experience driving agreements through the entire contract lifecycle—from initial drafting and redlining to ensuring efficient execution and a timely closing process
- Exceptional communication and negotiation skills, with the ability to translate complex legal risks into clear, actionable business advice for non-lawyers
- Hightly reliable and responsive to email, slack and phone communications
- Demonstrates the highest level of integrity and good judgment, with a proven ability to effectively handle highly sensitive, confidential business and legal information
- Strong technical aptitude and computer skills, including a high degree of comfort using GSuite, Microsoft products, and legal operations tools (such as Salesforce and Contract Lifecycle Management software)
Pay Range
Salary Range: $175,000.00 - $195,000.00 per year, plus an additional 5% variable annual bonus contingent on Company performance and eligible to receive a Restricted Stock Unit (RSU) grant. This is the pay range the Company believes is equitable for this position at the time of this posting. Consistent with applicable law, compensation will be determined based on the skills, qualifications, and experience of the applicant along with the requirements of the position, and the Company reserves the right to modify this pay range at any time.
