Corporate Counsel
About the role
HOK is seeking an experienced Corporate Counsel to join our Corporate Legal team. This is a hybrid position based in our St. Louis office, with on-site presence required three days per week.
Responsibilities
- Provide legal counsel and advice to business unit management in legal matters affecting the firm.
- Review, draft, edit and negotiate various contracts including, but not limited to, client contracts and subcontracts for professional services, vendor agreements, software and technology license agreements, non-disclosure agreements and teaming agreements.
- Advise internal clients on all aspects of project delivery and subcontract administration, including: Contract interpretation, Adherence to HOK policies, Compliance with federal, state, and local procurement regulations, Intellectual property and data rights, Payment rights, change management, contract disputes and termination provisions.
- Identify, anticipate and mitigate legal, regulatory and compliance risks impacting the firm.
- Assist in developing and recommending the firm's position on a variety of legal issues.
- Review client contracts for liability and insurance issues; negotiate preferred language and collaborate with internal clients on related concerns.
- Assist, as needed, with resolving legal issues or concerns in areas of human resources and insurance, including professional liability.
Requirements
The ideal candidate is a skilled legal professional with 3–5 years of experience. Prior experience in corporate law, construction law, or within an architecture, engineering, or construction (AEC) firm is strongly preferred. This individual demonstrates strong critical thinking and problem-solving abilities, communicates clearly and professionally in both written and verbal formats, maintains confidentiality with discretion, and effectively interprets laws and court decisions as they apply to HOK’s business operations.
Qualifications
- Juris Doctorate required.
- Membership in the State Bar as an Attorney licensed to practice law in one or more states required.
- .3-5 years legal experience required; corporate, construction, or AEC firm strongly preferred.
