Corporate Counsel
About the Role
Curana Health is seeking an experienced corporate attorney to join our growing Legal team and make a meaningful impact in the healthcare industry. As Corporate Counsel, you will play a critical role in providing legal counsel to Curana Health on a wide range of complex issues, including mergers & acquisitions; corporate governance and entity management; regulatory compliance; and HIPAA/privacy support. You'll also partner with the Chief Privacy Officer on privacy-related legal issues, positioning yourself as a strategic leader in healthcare data protection. In addition, the Corporate Counsel will work with the Associate General Counsel – Shared Services and other Curana Health attorneys to meet the Legal Department’s overall goal of providing timely, actionable and responsive legal services to Curana Health’s board of directors, executive leadership, management and other stakeholders.
Essential Duties & Responsibilities
- Provide day-to-day legal support and general counseling for Curana Health’s enterprise shared services, including corporate governance, board and subsidiary/entity management, privacy, employment, intellectual property, and other legal matters.
- Provide legal support to Curana Health’s corporate development team on mergers, acquisitions and other corporate transactions, including transaction-related drafting, negotiation, and diligence support.
- Lead privacy strategy initiatives with the Chief Privacy Officer and privacy program on HIPAA and other privacy and data security matters, including policy and procedure development, privacy program development, incident and breach analysis, and business associate arrangements.
- Review, track, and monitor legislation and regulations that impact Curana Health’s services and operations, and provide timely analysis and summaries thereof to leadership.
- Provide occasional support on vendor, IT, and other commercial agreements as needed, with primary drafting and negotiation of such agreements handled elsewhere within the Legal Department.
- Innovate through generative artificial intelligence tools to automate workflows, enhance efficiency, and elevate the quality of legal work.
- Develop strong working relationships with business clients, as well as legal and compliance partners.
Qualifications
- Juris Doctor (J.D.) from an ABA-accredited law school required.
- Licensure: Active admission to at least one state bar and in good standing required.
- 2-5 years of experience in corporate, healthcare, and/or privacy-focused legal practice, either in-house or with a law firm.
- Experience advising healthcare organizations, including healthcare providers, health plans, management services organizations (MSOs), or other regulated healthcare entities preferred.
- Demonstrated experience supporting corporate governance, entity management, mergers and acquisitions, and other corporate transactions.
- Strong legal analysis, research, drafting, negotiation, and problem-solving skills.
- Experience advising on healthcare regulatory, compliance, privacy, and data protection matters, including HIPAA, preferred.
- Proficiency using generative AI tools to enhance legal research, drafting, workflow efficiency, and productivity.
- Highly organized with exceptional attention to detail and the ability to manage multiple priorities in a fast-paced environment.
- Self-starter with sound judgment, strong decision-making skills, and the ability to work independently while collaborating effectively with cross-functional stakeholders.
- Proficient in Microsoft Office applications, including Word, Excel, Outlook, and PowerPoint.
