Corporate Counsel – Advisory Services
Responsibilities
- Negotiate and draft a wide range of commercial agreements, including master services agreements, terms and conditions, confidentiality agreements, and related documentation.
- Serve as a trusted advisor to business leaders, delivering clear, actionable guidance on commercial and operational issues.
- Lead initiatives to streamline contracting processes, develop and maintain playbooks, and enhance contract lifecycle management tool (Ironclad).
- Identify and mitigate legal and operational risks in new and existing service offerings; provide pragmatic solutions aligned with business objectives.
- Work closely with global stakeholders to implement best practices and ensure compliance with internal policies and applicable laws.
- Contribute to legal department projects, policy development, and operational enhancements.
Qualifications
- Minimum 5 years of legal experience.
- Strong contract drafting and negotiation skills.
- Able to communicate complex legal concepts in clear, concise, business-friendly language.
- Strong organizational skills; adept at handling multiple priorities for multiple stakeholders.
- Business mindset, including continuously learning the business and its needs and delivering agile legal support that advances business goals.
- Intellectual curiosity and creative problem-solving.
- Collaborative mindset and adaptability in a fast-paced, evolving environment.
- Commitment to integrity and excellence.
- Juris Doctor (JD) from an accredited law school and active state bar membership in good standing.
About the Role
This role is a strategic partner to our global business teams, with a focus on those providing advisory services (including the Emergo by UL business and the Healthy Buildings business). This attorney will provide practical, business-oriented legal advice on contracts, commercial transactions, risk management, and related matters. This is a hybrid position requiring three days per week in a UL Solutions office in the United States. The preferred location is Northbrook, IL (UL Solutions headquarters), Austin, TX (headquarters of Emergo by UL business), or Chicago, IL.
Benefits
The estimated salary range for this position is $170,000 to $190,000 USD and is based on multiple factors, including job-related knowledge/skills, experience, geographical location, as well as other factors. This position is eligible for annual bonus compensation with a target payout of 20% of the base salary. This position also provides health benefits such as medical, dental and vision; wellness benefits such as mental and financial health; and retirement savings (401K) commensurate with the standard rewards offered in each individual location or country. We also provide full-time employees with paid time off including vacation (15 days), holiday including floating holidays (12 days) and sick time off (72 hours).
