Corporate Attorney

We are seeking an experienced Corporate Associate Attorney with 8+ years of experience to join a corporate practice group. The ideal candidate will have a strong background in mergers and acquisitions, corporate transactions, commercial contracts, and business restructuring. This role offers substantial client interaction, autonomy, leadership opportunities, and ongoing business development training within a collaborative law firm environment. Responsibilities Advise clients on mergers, acquisitions, divestitures, and other corporate transactions.Handle debt and equity offerings, restructurings, and related corporate matters.Advise on entity selection, formation, governance, and general corporate issues.Draft, review, and negotiate sophisticated commercial contracts and transactional documents.Lead teams on corporate projects and manage significant client matters independently.Develop and maintain strong client relationships through direct interaction and responsive legal counsel.Apply sound legal judgment to complex transactional matters and business decisions.Support business development initiatives and contribute to practice growth.Deliver exceptional client service while meeting deadlines and maintaining high-quality work product. Qualifications 5+ years of corporate law experience preferred.Strong experience in M&A, transactional law, and commercial contracts.Knowledge of mergers, acquisitions, divestitures, debt and equity offerings, restructurings, and entity formation.Excellent drafting, negotiation, and analytical skills.Strong academic background.Demonstrated leadership and ability to manage teams and complex projects.Ability to work autonomously and take ownership of client matters.Excellent written and verbal communication skills.Strong work ethic, attention to detail, and commitment to exceptional client service.Interest in business development and long-term practice growth.
