Responsibilities
- Advise on equity and debt offerings under the Securities Act of 1933.
- Handle IPOs, follow-on offerings, and Rule 144A private placements.
- Manage SEC disclosure obligations and drafting of filings.
- Advise on NYSE/Nasdaq listing requirements and corporate governance.
- Work independently on substantial client workstreams.
Requirements
- Demonstrable experience with '33 and '34 Act work.
- JD from an accredited US law school.
- Experience at a major law firm.
- Florida Bar admission or eligibility.
- Led IPOs, follow-ons, or Rule 144A placements.
- Deep experience drafting SEC filings (10-Ks, 10-Qs, 8-Ks).
- Ability to manage significant workstreams independently.
Pay
$325K - $350K base
