About the role

The Corporate Associate - Securities/Capital Markets position at Faegre Drinker is open for lateral hires in any of our offices. Exceptional candidates may be considered for remote positions in other markets as well. The Capital Markets team handles a variety of transactions including debt, equity, and structured deals, as well as regulatory compliance and advisory engagements.

Responsibilities

  • Advising on registration requirements and drafting registration statements, RD purchase agreements, PIPE agreements, and other offering documents.
  • Managing transactions and leading due diligence teams.
  • Working with public companies, investment banks, private equity funds, and other financial institutions.
  • Ensuring compliance with public company reporting obligations and corporate governance requirements.
  • Writing effectively and managing multiple assignments with minimal supervision.

Requirements

  • Three to five years of experience in securities law advice and capital markets transactions.
  • Specific expertise in capital markets and experience working at a large firm.
  • Familiarity with public securities offerings, including IPOs, registered direct offerings, and structured deals.
  • Additional expertise with public company reporting obligations and corporate governance requirements.
  • Excellent writing skills and superior academics.

Qualifications

  • Law degree from an accredited law school.
  • Admission to practice law in at least one U.S. jurisdiction.
  • Ability to produce necessary documentation to verify legal authorization to work in the United States.

  • Ability to manage multiple tasks and projects simultaneously.

Pay

The anticipated initial annual salary range for this position is $180,000 - $300,000. Actual salaries will be determined based on relevant skills, training, experience, and other job-related factors.

Schedule

All attorneys, consulting professionals, and paraprofessionals are expected to work from a Faegre Drinker office three days per week, balancing in-person collaboration, relationship-building, and exceptional client service with individual flexibility and work-life balance.
