Corporate Associate - Securities/Capital Markets
About the role
The Corporate Associate - Securities/Capital Markets position at Faegre Drinker is open for lateral hires in any of our offices. Exceptional candidates may be considered for remote positions in other markets as well. The Capital Markets team handles a wide range of transactions including debt, equity, and structured deals, as well as regulatory compliance and advisory engagements.
Responsibilities
- Advising on registration requirements and drafting registration statements, RD purchase agreements, PIPE agreements, and other offering documents.
- Managing transactions and leading due diligence teams.
- Working with public companies on corporate governance and reporting obligations.
- Exhibiting excellent writing skills and managing multiple assignments with minimal supervision.
Requirements
- Three to five years of experience in securities law and capital markets transactions.
- Specific expertise in capital markets, particularly public securities offerings, including IPOs, registered direct offerings, structured deals, and PIPEs.
- Experience working at a large firm, including familiarity with public company reporting obligations and corporate governance requirements.
- Excellent writing skills and the ability to manage multiple assignments with minimal supervision.

Pay
The anticipated initial annual salary range for this position is $180,000 - $300,000. Actual initial salary will be based on relevant skills, training, experience, and other job-related factors, including the location of the position.
Schedule
Attorneys, consulting professionals, and paraprofessionals are expected to work from a Faegre Drinker office three days per week.
