About the Role

Fox Rothschild has an opening for a mid-level or senior associate with experience in mid-market M&A ($25 million to $500 million in deal value) and venture capital. This role involves substantive, client-facing work, including significant exposure to sophisticated deal structures, direct client contact, and the opportunity to shape transactions.

Responsibilities

• Draft stock and asset purchase agreements.
• Handle routine matters independently and interact directly with clients.
• Manage major acquisitions and divestiture activity for hundreds of middle-market companies.
• Buy and sell local businesses for smaller clients.

Requirements

• Juris Doctorate (JD) required.
• Licensed to practice in one of the following jurisdictions: Florida, Georgia, North Carolina, South Carolina, the District of Columbia, Delaware, Pennsylvania, New Jersey, New York, or Massachusetts.
• 4 to 6 years of corporate and transactional experience.
• Working knowledge of corporate and partnership taxation concepts.
• Familiarity with NVCA documents.
• Large law firm experience preferred.

Skills

• Strong writing skills and academic record.
• Ability to handle complex deal structures and client interactions independently.

Work Environment & Physical Demands

This job operates in a clerical, office setting and routinely uses standard office equipment such as computers, telephones, printers, and copiers.

• Sedentary work: Exertion of physical strength to lift, carry, push, pull, or otherwise move objects up to 10 pounds.
• Work involves sitting most of the time, with occasional walking and standing necessary in carrying out job duties.

Pay

The salary ranges for this position vary by location and reflect factors such as experience, education, licensure, geographic location, and market demands.

• Boston: $235,000 - $265,000
• Washington, D.C. and New York: $240,000 - $270,000
• New Jersey: $215,000 - $245,000
