CORPORATE ASSOCIATE ATTORNEY

About the role
The Indianapolis, Indiana office is seeking a Corporate Associate for its Business Combinations and Capital Transactions Practice Group. This position is well-suited for an associate looking to take on meaningful responsibility, develop client relationships, and work closely with partners on sophisticated transactions.
Responsibilities
- Serve as a key member of deal teams and be involved in all phases of transactions
- Manage and coordinate M&A due diligence, including issue identification, and translate findings into practical, business-focused advice
- Draft and negotiate purchase agreements and related transaction documents, incorporating diligence findings and specialist input
- Work directly with partners, clients, opposing counsel, and internal subject-matter specialists
- Advise on risk allocation issues, including indemnities, escrows, caps, baskets, and representation and warranty insurance
- Oversee signing and closing processes, including checklists, execution, and post-closing matters
Requirements
- 3–5 years of experience in M&A and general corporate transactions
- Experience representing clients on both buy-side and sell-side matters
- Strong academic credentials and excellent written and verbal communication skills
- Indiana bar admission or eligibility to waive in
Pay
The salary range for this role is $180,000 to $195,000. Actual compensation will be determined based on skills, relevant experience, and other job-related factors. Associates are also eligible for quarterly and annual objective bonuses, with maximum opportunities ranging from approximately $14,000 to $22,000 per year, depending on associate level, as well as an annual subjective bonus.
