Job Details

We are seeking an associate to join our corporate practice, working on a broad range of complex transactional matters. This role offers the opportunity to be involved in mergers and acquisitions, venture capital transactions, and general corporate advisory work.

Responsibilities

  • Draft, review, and negotiate complex transactional documents for mergers, acquisitions, and financing activities
  • Support all phases of corporate transactions, including due diligence, structuring, negotiation, and closing
  • Advise clients on corporate governance matters and general corporate law issues
  • Affiliate with venture capital financings and related investment transactions
  • Manage and coordinate due diligence processes and transaction timelines
  • Collaborate with internal teams and external stakeholders to execute transactions efficiently
  • Affiliate with securities law compliance and related regulatory obligations
  • Work directly with clients to provide practical, business-oriented legal advice

Qualifications

  • 3 to 6 years of experience in corporate law at a law firm
  • Experience with mergers and acquisitions and/or venture capital transactions
  • Strong background in drafting and negotiating transactional documents
  • Familiarity with securities law compliance and corporate governance matters preferred
  • Demonstrated ability to manage multiple matters in a transactional environment
  • Strong academic credentials and law firm training

Requirements

  • Licensed to practice law and in good standing in at least one U.S. jurisdiction
  • Excellent drafting, analytical, and problem-solving skills
  • Strong written and verbal communication abilities
  • Ability to manage deadlines across multiple active transactions
  • Detail-oriented with strong organizational skills
  • Team-oriented mindset with the ability to work independently when needed
