About the Role

A well-established Boston law firm is expanding its Corporate, M&A, and Commercial Transactions practice and is seeking a Corporate Associate Attorney with 2+ years of business transactional experience to join its collaborative team. This is an outstanding opportunity to gain hands-on experience working directly with business owners, entrepreneurs, investors, and executives while building your practice in a transparent, mentorship-driven environment.

Responsibilities

• Draft and review transactional documents with direct attorney mentorship and client interaction.
• Play an active role on buy-side and sell-side mergers and acquisitions.
• Prepare transaction schedules and assist with closing coordination.
• Conduct corporate and real estate due diligence.
• Research and advise clients on a variety of commercial legal matters while supporting outside general counsel services.
• Build trusted relationships with business owners and executives across diverse industries.

Qualifications

• 2-5+ years of business transactional law experience (summer associate and part-time experience will be considered).
• Massachusetts Bar License in good standing.
• Experience drafting and reviewing commercial contracts and transactional documents.
• Working knowledge of entity formation and business structuring.
• Familiarity with M&A deal flow, due diligence, closing processes, and transaction documentation.
• Understanding of Asset Purchase Agreements (APA), Membership Interest Purchase Agreements (MIPA), Stock Purchase Agreements (SPA), and commercial finance documents.
• Securities law exposure is a plus, but not required.
• Strong academic credentials, excellent communication skills, and a collaborative, client-focused approach.
• An entrepreneurial mindset with a genuine interest in developing a long-term legal practice.

Pay

$140-180K depending on experience
