Corporate & Securities AssociateOur client, a nationally recognized law firm, is seeking a mid- to senior-level Corporate & Securities Associate (4th-7th year) to join its Corporate Practice. This opportunity is available in multiple office locations across the firm's national platform.This is an excellent opportunity for an attorney with significant capital markets and securities experience who is looking to work on sophisticated public and private financing transactions while advising emerging growth companies, public corporations, financial institutions, and other market participants.ResponsibilitiesAdvise clients on a broad range of capital markets and securities transactionsRepresent issuers, underwriters, investors, and other market participants in:Initial Public Offerings (IPOs)Secondary offeringsPrivate placementsDebt offeringsBond issuancesSecuritization transactionsAssist clients with securities law compliance and public company reporting obligationsDraft and negotiate offering documents and transaction agreementsConduct due diligence and manage transaction workstreamsCoordinate with specialists across tax, finance, regulatory, and other practice areasWork directly with clients on strategic capital-raising initiatives and corporate transactionsManage multiple sophisticated matters in a fast-paced environmentQualificationsJ.D. from an accredited law schoolActive bar membership in good standing in the jurisdiction where the candidate intends to practiceApproximately 4-7 years of corporate and securities experienceSignificant experience handling:Capital markets transactionsIPOsPublic securities offeringsPrivate placementsDebt and structured finance transactionsStrong academic credentialsExcellent legal research, drafting, and analytical skillsOutstanding written and oral communication abilitiesStrong project management and organizational skillsAbility to work collaboratively while independently managing sophisticated transactionsWhy This OpportunityOur client offers attorneys the opportunity to work on sophisticated securities and capital markets matters for a diverse client base ranging from emerging companies to multinational public corporations.
