About the role
The successful candidate will join our Corporate & Securities Department, working on complex, market-leading matters. Responsibilities include:
- Mergers, acquisitions and divestitures
- General outside corporate counsel matters for privately held companies
- Corporate governance, entity formation, and ongoing business counseling
- Private equity investments and portfolio company transactions
- Joint ventures
- Debt and equity financing transactions
Responsibilities
- Manage significant portions of transactions
- Draft and negotiate principal transaction documents
- Coordinate due diligence
- Supervise junior attorneys
- Interact directly with clients
- Have strong academic credentials
- Be admitted to practice law in at least one U.S. jurisdiction
- Have demonstrated analytical and writing skills
- Be able to handle multiple tasks simultaneously
- Have excellent interpersonal and communication skills
- Experience in corporate transactions
- Knowledge of private equity and venture capital
- Experience in mergers and acquisitions
- Experience in securities regulation
- Strong research and writing abilities
- Excellent organizational and time management skills
- Ability to work independently and as part of a team
- Strong attention to detail
