Corporate Associate
Position Overview
A leading U.S. law firm is seeking a 4th–6th year Corporate Associate to join its Corporate & Capital Markets practice in Boston or New York. This is a high-priority search for an experienced corporate and securities attorney with significant SEC reporting and public company representation experience.
Key Responsibilities
- Advising public companies on periodic and current SEC reporting requirements and securities law matters.
- Counseling clients on public company representation, corporate governance, and general corporate matters.
- Supporting and leading aspects of capital markets transactions.
- Participating in mergers and acquisitions and other sophisticated corporate transactions.
- Working directly with in-house legal teams, senior management, and boards of directors.
- Assuming increasing responsibility for client matters and relationships.
- Collaborating closely with partners and attorneys across multiple offices and practice groups.
Required Qualifications
- 4–6 years of comparable law firm experience in a sophisticated corporate and securities practice.
- Significant hands-on SEC reporting experience.
- Demonstrated experience representing public companies.
- J.D. from an accredited law school.
- Admission to the bar in the jurisdiction of the candidate's primary office.
- Outstanding academic credentials.
- Excellent written and verbal communication skills.
PREFERRED EXPERIENCE
- Capital markets transactions.
- Mergers and acquisitions.
- Broader corporate and securities counseling.
- Experience at an Am Law 200, BigLaw, or sophisticated high-end securities or corporate boutique.
IDEAL CANDIDATE PROFILE
The strongest candidates will combine substantial SEC reporting and public company experience with sophisticated corporate training. General corporate or M&A experience alone is not sufficient; meaningful SEC reporting experience is a critical requirement. Candidates should demonstrate strong academic credentials, excellent communication skills, and the ability to interact directly with sophisticated clients.
WORK ARRANGEMENT
The position follows a hybrid schedule, with associates expected to maintain a regular in-office presence three days per week.
Compensation & Bonus Structure
- Associates may become eligible for a market-based bonus upon meeting the firm's qualifying annual hours requirements, which may include client-billable work and qualifying pro bono and/or business development activities.
- Additional performance and achievement bonus opportunities may also be available.
