About the role
Represent healthcare practices and private equity firms in selling and acquiring businesses within the healthcare industry.
Responsibilities
- Conduct legal research on healthcare laws, regulations, and policies, and structure deals to comply with healthcare regulations.
- Advise clients regarding regulatory compliance such as corporate practice of medicine, HIPAA, and other patient privacy acts, as well as corporate structuring matters.
- Draft and negotiate Asset Purchase Agreements, Stock Purchase Agreements, Management Services Agreements, and other ancillary documents.
- Conduct extensive due diligence processes and prepare contract review charts.
- Coordinate with clients and opposing counsels.
- Lead the closing in various transactions.
- Draft various company governance documents.
- Provide general corporate consultations.
- Participate in cross-border transactions and represent public companies in complex high-stakes transactions (deal sizes in the middle to upper markets).
- Advise private/public companies, private equity funds, and financial institutions regarding M&A transactions within the healthcare industry.
- Advise clients on policy and procedures in healthcare law, including ethical standards and safety considerations.
Requirements
- JD, LLM, or foreign equivalent degree.
- 2 years of experience in the position offered or a related occupation as an Attorney working on private equity transactions, venture capital transactions, and mergers and acquisitions involving healthcare entities.
- 2 years of experience advising clients in the healthcare, pharmaceutical, medical device, and health insurance industries, performing all of the following:
- Drafting Asset Purchase Agreements, Stock Purchase Agreements, and Management Services Agreements.
- Conducting extensive due diligence processes.
- Conducting legal research on healthcare laws to ensure transactions comply with regulations such as HIPAA and other patient privacy acts.
- Must be admitted to practice law in Florida.
