Contracts Specialist
About the role
Guidepoint’s Legal team plays an important and global role across all our offices. The team provides expertise, advice, recommendations, and support to multiple parts of the business to ensure seamless and efficient processes. We are seeking a Contracts Specialist to serve as the main point of contact between the legal team and internal/external stakeholders for all contract management, including drafting, reviewing, and negotiation. This role will report to our Associate General Counsel and can be remote.
Responsibilities
- Draft, review, and negotiate all types of contracts, including client and vendor agreements, non-disclosure agreements, contract amendments and renewals, Statements of Work, data processing agreements, SaaS agreements, etc., for global stakeholders in various company locations.
- Manage the Contracts Queue and coordinate all aspects of contract management.
- Serve as the primary contact between the legal department and internal/external stakeholders seeking contract review, revision, copies, questions, or status updates.
- Review, respond to, and manage contracts-related questions within the Contracts inbox.
- Manage the Contract Template library and other knowledge management functions.
- Ensure compliance with contract approval policies and procedures.
- Liaise with Legal, Compliance, and Sales teams on contracts as needed.
- Handle special projects on an as-needed basis.
Requirements
- Bachelor’s Degree, with at least 3 years' experience working with contracts.
- Law Degree is a plus but not required.
- Contract management experience, preferably in-house.
- Experience reviewing, editing, interpreting, and negotiating legal agreements.
- Experience reviewing and negotiating corporate master services agreements.
- Strong organizational and communications skills, with the ability to set priorities, handle multiple tasks, and track and follow up on projects.
- Excellent interpersonal skills and ability to work collaboratively in a team environment with internal and external contacts at all levels, including across various offices.
- Ability to digest complex compliance practices and ensure contractual drafting and review aligns with those practices.
- Ability to work independently and seek assistance or support as necessary.
- Ability to shift focus, adapt to changing priorities, and take initiative while meeting deadlines and providing timely responses.
- Strong client service focus and flexibility.
- Comfortable in a fast-paced environment.
- Ability to handle confidential information with professionalism, discretion, and integrity.
Preferred Qualifications
- Apttus/Conga (Salesforce) contracts management system experience.
- Knowledge of GDPR and other data protection laws, with experience negotiating data processing agreements.
- Knowledge of legal developments in AI and how to incorporate them into contracts.
