Contracts Paralegal
Responsibilities
- Manage the full contract review process for a range of commercial documents, including confidentiality agreements, master agreements, supply and purchase contracts, statements of work, and related customer-facing terms.
- Lead negotiations on routine business provisions with customer legal and procurement contacts, and elevate unusual or higher-risk issues to corporate counsel when appropriate.
- Apply approved templates, clause libraries, and negotiation guidance to promote consistency, reduce risk, and support timely agreement execution.
- Work closely with teams across Legal, Finance, Operations, Engineering, and Sales to address contract questions and help structure complex commercial arrangements.
- Maintain organized and accurate contract data, key dates, and obligation records within the company’s contract management and business systems.
- Produce reporting on cycle times, negotiation volume, and areas of contractual risk to support decision-making and process visibility.
- Recommend and implement improvements to contracting procedures, document standards, and workflow efficiency.
- Assist the Corporate Legal function with contract administration and broader legal operations assignments as business needs require.
Requirements
- Bachelor’s degree required.
- At least 5 years of experience drafting, reviewing, negotiating, or administering commercial agreements in a corporate, law firm, procurement, legal operations, or sales support setting.
- Background working with business contracts such as NDAs, MSAs, supply agreements, purchase agreements, licensing terms, or similar documents.
- Strong knowledge of contract language, negotiation practices, and commercial risk assessment.
- Paralegal certification or other formal legal training is preferred.
- Pennsylvania Notary Public status, or the ability to obtain it shortly after joining, is preferred.
- Proficiency with contract lifecycle management tools, enterprise business platforms, and Microsoft Office, especially Excel.
- Excellent organizational, communication, and stakeholder management skills, with the ability to handle multiple active agreements at once.
