Contract Manager II

Job Description

The Contract Manager II is responsible for creating, drafting, negotiating, and maintaining third-party contracts. They work closely with internal business units, risk management, compliance, and General Counsel to ensure agreements meet BOKF’s policies and procedures.

This role involves reviewing, interpreting, modifying, and negotiating terms and conditions of various agreements, including non-disclosure, master services, software license, and statement of work agreements. The position also requires strategic direction in contractual matters, such as confidentiality agreements, software license agreements, master purchasing agreements, and marketing agreements.

The Contract Manager II serves as a liaison between the business unit and General Counsel to ensure all contracts are reviewed by an attorney and contain approved language. They manage the recording and imaging of all contracts and the transfer or termination of contracts for acquired banks.

Requirements

• Completion of a bachelor’s degree or Juris Doctor (JD) degree; 5-7 years of work-related experience, or 10 equivalent years of experience in contract drafting and negotiating.
• Proficient contract drafting skills.
• Knowledge of complex contract terms and conditions, financials, and pricing models.
• Experience planning, strategizing, and negotiating technical and non-technical contracts.
• Detailed and detail-oriented approach to documenting and administering contracts.
• Excellent interpersonal skills, including both oral and written communication with senior BOKF management and third-party executive management.
• High degree of confidence and business acumen.
• Experience with Microsoft PowerBI or advanced data reporting (preferred).

How You'll Spend Your Time

• Establishing contract negotiation strategies and fostering a competitive negotiation environment.
• Ensuring the contract is reviewed, approved, and signed following the bank's contract management procedures.
• Providing strategic direction in contractual matters, including confidentiality agreements, software license agreements, master purchasing agreements, and marketing agreements.
• Serving as a liaison between the business unit and General Counsel to ensure all contracts are reviewed by an attorney and contain approved contract language.
• Managing the recording and imaging of all contracts to ensure proper administration and retention in a centralized database.
• Managing the transfer or termination of contracts for acquired banks.

Education & Experience

• Completion of a bachelor’s degree or Juris Doctor (JD) degree; 5-7 years of work-related experience, or 10 equivalent years of experience in contract drafting and negotiating.
