About the Opportunity
A Fortune 500 Tech Company is looking for a lawyer with 6+ years' experience with Technology Transactions And Commercial Agreements for a 6 month engagement starting as soon as possible, with the potential to extend to 12 months. The work will involve supporting the company's Americas deal desk with the negotiation and execution of volume licensing and commercial agreements for customers throughout North and South America.
Responsibilities
- Negotiating technology, software, cloud services, enterprise licensing, and other commercial agreements.
- Serving as a key point of contact for high-volume transactional work across multiple geographies, customer segments, and complex matters involving multiple stakeholders.
- Partnering with sales, deal desk, legal, and business stakeholders throughout the negotiation and execution process.
- Interacting directly with customers and their attorneys regarding commercial agreements.
- Assessing legal and commercial risk while considering business objectives, risk tolerance, and stakeholder priorities.
- Providing practical legal advice and supporting matters in a fast-paced, highly matrixed, customer-facing environment.
Required Qualifications
- At least 6 years of experience as a practicing attorney in a law firm or in-house role specializing in complex transactions, specifically in the Software & Tech industry.
- Experience negotiating complex technology transactions, including software, cloud services, enterprise licensing, or related commercial agreements.
- Experience with M&A, business development, or other complex transactional work involving multiple stakeholders may also be relevant.
- Strong commercial judgment, legal analysis, and risk assessment skills.
- Ability to manage high-volume transactional work and operate effectively amid ambiguity.
Additional Preferences
- Familiarity with technology industry practices and the company’s licensing models.
- Proficiency in Spanish and/or Portuguese—particularly for supporting customer engagements in Latin America—is strongly preferred.
Key Details
- Location: Remote
- Schedule: Full-time
- Duration: 6 month engagement ((with potential extension for up to a year))
- Compensation: $80 - $100 per hour
Required
- Candidates must be able to work full-time starting ASAP.
- Candidates will be working remotely.
- Candidates may work within the Eastern, Central, or Pacific U.S. time zones and must be able to support customers throughout North and South America.
- The client’s proposed budget is $80-$100 per hour, flexible based on experience.
- The selected worker will be employed (W-2) by a workforce solutions company for the duration of the engagement.
- No interview with client: Please note that this client will not interview candidates directly. Priori will handle the entire screening process, and if selected by the client for this role, you will simply begin working with the client.
- Regarding rate: A live auction will be part of the client’s selection process. Given this, the rate will be a key factor in their decision.
