Essential Functions
- Reviewing complex organizational documents of Virginia and foreign stock and nonstock corporations, limited liability companies, business trusts, limited partnerships, general partnerships, and registered limited liability partnerships for statutory compliance and the payment of fees
- Examining complex business entity mergers, amendments, domestications, and entity conversions
- Analyzing documents of complex formations and determining legal compliance
- Determining legal requirements for the formation of regulated Virginia businesses such as banks, trust companies, savings and loan associations, credit unions, insurance companies, railroads, public service companies, cooperatives, public authorities, professional corporations, and professional limited liability companies
- Reviewing complex applications and accompanying documents submitted on behalf of foreign business entities for certificates of authority to transact business in Virginia, amended certificates of authority, withdrawals, and cancellations for statutory compliance and required fees
- Responding to complex inquiries from attorneys, governmental agencies, and the general public regarding interpretations, applications, and procedures
- Contacting business entity officials or representatives for clarification or to correct inadequacies
- Reviewing, interpreting, and making recommendations for changes to the Virginia Code
- Supporting process improvement changes within the Clerk’s Office as they relate to the processing of complex filings and documents
- Participating on policy subcommittees as requested
Preferred Qualifications
- Relevant professional experience in business entity document preparation, review, and/or analysis
- Law degree from an accredited law school or relevant bachelor’s degree
- Considerable knowledge of the Titles of the Code of Virginia as they pertain to business entity formations, mergers, amendments, terminations, and reinstatements
- Considerable knowledge of statutory and administrative laws pertinent to specific legal assignments
- Knowledge of automated systems, process, and procedures
- Ability to review complex business entity documents according to statutory requirements and established examination procedures while identifying errors and inadequacies to address
- Ability to research complex legal questions and interpret rulings in answering inquiries
- Ability to express ideas clearly, both verbally and in writing
