About the role

The Finance and Investments Counsel supports Wilton Re's investment, finance, and capital management initiatives. Reporting to the Group Chief Legal Officer, this role involves managing and leading legal documentation and processes for investment management matters, drafting, reviewing, and negotiating legal documents, and providing legal support for various finance and investment activities.

Responsibilities

  • Manage and lead legal documentation and process for investment management matters (e.g., IMAs, advisory agreements, custodial arrangements, and asset transfer and servicing arrangements).
  • Draft, review, and negotiate such documentation directly with counterparties and manage internal review processes with respect thereto (including collaborating, coordinating, and advising senior management to ensure proper management of business risks).
  • Monitor, interpret, and advise senior management on developments in the laws, rules, and regulations relevant to the treatment and management of insurance assets as well as capital management and financial reporting requirements, and the potential impact to Wilton Re’s business and investment portfolio.
  • Provide legal support for execution of corporate hedging and derivative strategies, including review and negotiation of ISDA documentation and advising the business on related compliance matters.
  • Provide legal support for capital/balance sheet management activities, including third-party financing (e.g., credit facilities, LOCs, etc.), corporate distributions, reinsurance recaptures and similar transactions.
  • Assist the Chief Financial Officer and the Treasury and Investment teams in managing banking relationships, as needed.
  • Provide legal support to the finance team concerning regulatory filings ensuring they align with company and regulatory standards.
  • Provide ad-hoc support drafting regulatory responses, disclosures, and other correspondence with regulatory agencies and rating agencies concerning finance and investment matters.
  • Provide ad-hoc support to and work closely with the transaction team related to documentation for trust arrangements, investment management related documentation, and asset transfers.
  • Provide written and oral presentations to the senior management team.

Qualifications

  • Minimum 5 years of legal experience with a focus on investments, asset management, and/or state insurance matters with knowledge of relevant laws, rules and regulations.
  • Prior experience within insurance or reinsurance, specifically life insurance highly preferred.
  • Solid organizational and project management skills with an ability to work autonomously and adapt to various types of styles and processes.
  • Knowledge of statutory accounting for life companies preferred but not required.
  • Able to effectively communicate, both written and oral, with the intended audience.
  • Able to exercise sound judgment in a fast-paced environment.
  • Able to exercise agility and adaptability in providing legal advice.
  • Able to assist the business in developing and implementing creative, cost effective and realistic solutions that create business impact.

Requirements

  • JD from an ABA accredited law school.
  • Member of the Bar in good standing of any US jurisdiction.

Pay/Location

Base salary/hourly rate range for this position in Connecticut is between $150,000 and $ 215,000. Occasional travel may be required (e.g., visits to Norwalk, CT office). This role may be filled at a level dependent on the experience and qualifications of the applicant.
