Role Overview
We are hiring for one of our clients, seeking a Funds Attorney to work on a contract basis. The role requires expertise in fund formation, regulatory compliance, and investment management to support client operations. You will draft, review, and negotiate fund documents while ensuring alignment with legal and regulatory requirements.
Key Responsibilities
- Draft, review, and negotiate fund agreements, subscription documents, and side letters.
- Ensure compliance with securities laws, investment company regulations, and fund governance standards.
- Provide legal guidance on fund structuring, including partnerships, LLCs, and offshore entities.
- Collaborate with investment teams to address fund-related legal and operational matters.
- Conduct due diligence on fund investments and counterparties.
Required Skills & Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law in at least one U.S. jurisdiction.
- Minimum of 5 years of experience in fund formation and investment management law.
- Strong drafting and negotiation skills for complex legal agreements.
- Knowledge of SEC regulations, ERISA, and tax implications for fund structures.
