Job Summary

The Associate Vice President, Strategic Ventures Legal Counsel will serve as a legal advisor for Realty Income’s global real estate growth strategy, focusing on joint ventures, programmatic partnerships, private credit platforms, and real estate fund formation.

About the Role

Supports all strategic ventures, including private fund formation and management, joint ventures, private credit lending arrangements, and certain geographic expansion. Works closely with senior leadership and cross-functional teams to ensure compliance and advance the company’s strategic objectives.

Responsibilities

  • Provide guidance on business and legal frameworks for joint ventures, co-investment structures, preferred equity arrangements, and partnerships.
  • Negotiate agreements with institutional investors (domestic and international) and other strategic partners.
  • Support legal workstreams for the formation, structuring, and launch of private funds, joint ventures, and co-investments.
  • Draft private placement memoranda (PPMs), limited partnership agreements (LPAs), subscription agreements, side letters, operating agreements, and related offering documentation.
  • Advises on structuring and formation of real estate private equity and private credit funds (globally), joint ventures, and club vehicles, including regarding fund governance, investor rights, and economic terms.
  • Ensure compliance with federal/global securities laws (Investment Advisers Act, ’33 and ’34 Acts), state Blue Sky laws, anti-money laundering, and REIT-specific regulations.
  • Maintain regulatory filings (Form ADV, Form D, etc.) and provide continuing counsel on applicability.
  • Monitor SEC, FINRA, and other regulatory developments; provide ongoing advice on regulatory changes.
  • Partner with Compliance & Ethics to implement policies for marketing, fundraising, conflicts of interest, sanctions, and ESG and reporting obligations applicable to real estate vehicles.
  • Support expansion into new countries and regions outside Europe and the United States.
  • Coordinate with local counsel to assess regulatory, title, land use, and environmental risks for platform build-outs and portfolio acquisitions, development transactions, and joint venture activity.
  • Partner with fundraising/investor relations teams on investor due diligence and negotiations.
  • Develop standardized templates, playbooks, and best practices to streamline JV, financing, and fund formation documentation and approvals globally.
  • Select and manage external counsel, optimize scope and fees, and ensure consistent documentation and risk positions across deals and regions.
  • Present clear, commercially grounded recommendations to senior management, investment committees, investors, and boards on key legal issues and transaction risk-reward tradeoffs.

Requirements

  • Juris Doctor (JD) from an accredited law school; admission to at least one U.S. state bar.
  • At least five years of relevant transactional legal experience in-house or at a top-tier law firm.
  • Extensive experience with real estate funds, lending/private credit, and private equity.
  • Experience with real estate transactions preferred.
  • Experience administering compliance programs for SEC-registered investment advisers preferred.

Qualifications

  • Based in San Diego (Del Mar area) headquarters.
  • Monday through Thursday in-office, with flexibility to work remotely on Fridays.
  • Base pay range: $196,579 - $287,361 - $379,288.
  • Annual discretionary bonus and stock awards may be offered.
