Associate Legal Counsel, Commercial Transactions

About the role

This is a full-time, on-site in-house role for a Commercial Transactions Attorney in the Nashville metro area. The position is designed for mid-level BigLaw associates seeking to transition in-house. From day one, you will collaborate with experienced attorneys and business leaders, advising on legal issues and shepherding deals that shape strategy, growth, and innovation. The role emphasizes problem-solving, cross-functional collaboration, and seeing the tangible impact of your work.

Responsibilities

• Independently manage deal flow, including due diligence, negotiating, drafting, and closing transactions
• Navigate legal issues and support strategic initiatives alongside business teams

Requirements

• 4+ years of corporate transactional experience at a BigLaw firm
• Solid foundation in general corporate work (M&A, commercial contracts, corporate transactions)
• Finance experience (loan agreements, credit facilities, letters of credit, or similar) is a significant plus
• Strong drafting and negotiation skills
• Ability to work efficiently in a high-paced corporate environment, managing multiple transactions and deadlines simultaneously
• Excellent academic credentials from an ABA-accredited law school
• Excellent analytical, written, verbal, and interpersonal skills with the ability to work across business teams and internal stakeholders
• Licensed to practice law in Tennessee (or eligible to register for in-house exemption)
• Outstanding professional references from former supervisors

Pay

The salary range for this role is $175,000 to $220,000. Pay is based on multiple factors including, but not limited to, work experience, qualifications, and credentials.
