Position Overview

Nakamoto Inc. (NASDAQ: NAKA) is a bitcoin company with a bitcoin treasury and operating businesses spanning bitcoin-focused media and events, fund management, and advisory services. We are seeking a securities lawyer to join our in-house legal team at the parent company level, reporting directly to the General Counsel.

Key Responsibilities

  • Prepare, review, and manage the company's SEC filings, including current reports (8-K), periodic reports (10-Q, 10-K), proxy statements, Section 16 filings, and registration statements

  • Advises on disclosure obligations, Regulation FD, and securities law compliance across the company's public communications, including press releases, earnings releases and investor materials

  • Support the company's capital markets transactions and financing activities

  • Ensure ongoing compliance with Nasdaq listing rules, including corporate governance and disclosure requirements

  • Administer the company's insider trading policy, including trading windows, preclearance, and 10b5-1 plan matters

  • Advise on equity compensation and stock plan matters, plan maintenance and related filings

  • Support board and committee governance and other corporate governance matters

  • Monitor SEC rulemaking and Nasdaq rule changes and advise on their impact, including developments relevant to companies with bitcoin treasury operations

Qualifications

  • J.D. and active bar membership in good standing

  • 5+ years of securities / capital markets experience at a leading law firm, the SEC and/or in-house at a public company

  • Hands-on experience with '34 Act reporting (8-Ks, 10-Qs, 10-Ks) and registration statements; proxy statement and capital markets transaction experience a plus

  • Strong working knowledge of the Securities Act, Exchange Act, SEC rules, and Nasdaq listing requirements

  • Compliance program experience is not required — we're looking for excellent judgment and the organizational skills to build and run this function

  • Interest in bitcoin and digital assets; prior exposure to bitcoin treasury companies or crypto-related companies a plus, not a requirement

  • Strong drafting skills, meticulous attention to detail, and the ability to independently manage recurring deadlines

  • The judgment, discretion, and maturity to advise senior executives and handle sensitive matters

Compensation

Total compensation is targeted between $225,000 and $275,000 per year. Compensation is comprised of base salary of $175,000 - $200,000, an annual performance bonus with a target of $25,000, and an annual equity (RSU) grant with a target value of $25,000 - $50,000. Placement within these ranges depends on experience and location. Full-time employees will be eligible for company healthcare benefits.
