Key Duties and Responsibilities
- Securities/SEC and Corporate Governance – Review and advise regarding SEC filings, including 10-K, 10-Q and other periodic reports, Proxy Statement, and other investor relations materials.
- Reporting - Support insider equity ownership for reporting purposes relating to Section 16 insider transaction reports.
- Corporate Secretary support - Support the Corporate Secretarial function, including preparation of materials for Board of Directors and Committee meetings and the Corporation’s Annual Meeting of Shareholders. Overnight, multi-day travel is required to support Board of Director meetings.
- Entity management – Oversee entity management, minute books and minutes of the Corporation, Board, Committee and subsidiary board and related minutes.
- Financing – Support the finance department in any equity offerings, debt financing, credit agreements and any other financing projects.
- Contract/Business Legal Services – Interpret laws, prepare legal documents, advise management, and represent the corporation in business related matter to include contracts, leases, mergers and acquisitions, real property, financing, and regulatory matters.
- Internal Legal Issues - Review documentation, investigate, interview, identify risks and determine how to proceed or mitigate. Work cross functionally to assist in managing risk and compliance.
- Litigation - Support management and resolution of litigation matters.
- Outside Counsel - Supervise the activities of outside counsel to ensure the company receives cost effective and valuable legal services.
Educational and Experience Requirements
- Juris Doctor Degree required
- Licensed in at least one of: North Dakota or Minnesota, with the ability to obtain licensure in the other within 6 months
- At a minimum, 3- 5 years’ experience relative to the position
- Excellent written and oral communication skills
- Excellent judgment
- Meticulous attention to detail and strong organizational skills
