Associate General Counsel
Primary Duties & Responsibilities
- Aid the General Counsel and other internal clients in all aspects of midstream commercial and surface land transactions
- Draft a wide variety of transactional agreements, including commercial midstream agreements, surface use agreements, surface and mineral lease agreements and water purchase agreements
- Provide legal review and analysis of existing internal and third party commercial and surface land agreements
- Aid in large M&A transactions, including due diligence review and drafting ancillary agreements
- Manage corporate structure and governance, including board resolutions, periodic reports and other internal documentation
- Supervise external counsel
Qualifications And Requirements
- Bachelor’s Degree and Juris Doctor with excellent academic credentials
- 2-4 years’ experience practicing sophisticated energy transactional work at a major law firm or energy company (or equivalent)
- Excellent verbal and written communication skills
- Excellent organizational skills and professional demeanor
- Ability to interact effectively with all departments and levels of the organization, including senior management
- Ability to efficiently synthesize information, manage multiple tasks and meet deadlines
- Proficient in MS Word, MS Power Point and MS Excel skills
