UNCOMN is seeking an Associate General Counsel to serve as a trusted legal advisor to UNCOMN’s leadership and business teams, reporting to the Chief Strategy Officer. This hands-on role will blend legal expertise, business partnership, and strategic advising. The Associate General Counsel will have the opportunity to take on increasing responsibility as UNCOMN continues to grow, developing the leadership capabilities needed to support and eventually lead the company’s legal function. In this role, the Associate General Counsel will manage the company’s day-to-day legal matters while supporting the continued development of UNCOMN’s legal, compliance, and enterprise risk management infrastructure. The position will partner closely with Growth, Operations, Finance, Experience, Information Technology, Security, and executive leadership to identify material legal risks, develop practical solutions, and enable informed business decisions. Additional responsibilities include: Government Contracting Advise UNCOMN on federal government contracting laws, regulations, and contractual requirements, including the FAR, DFARS, agency supplements, and contract-specific obligations.Draft, review, and negotiate various contractual instruments, such as prime contracts, subcontracts, teaming agreements, nondisclosure agreements, consulting agreements, vendor agreements, and other business arrangements. Support the Growth Team in evaluating solicitations, organizational conflicts of interest, teaming structures, representations and certifications, and proposal-related legal issues.Advise on contract performance matters, including changes, requests for equitable adjustments, claims, cure notices, disputes, terminations, and subcontractor performance. Support UNCOMN’s response to audits, investigations, bid protests, and regulatory inquiries. Corporate and Employment Matters Support mergers, acquisitions, investments, joint ventures, strategic transactions, and potential employee-ownership initiatives. Assist with legal due diligence, transaction documentation, post-closing integration, and management of transaction-related risks.Advise on intellectual property ownership, data rights, confidentiality, artificial intelligence, software development, and protection of proprietary methods and materials.Advise the Operations teams on employment agreements, restrictive covenants, compensation arrangements, employee relations, workplace investigations, accommodations, terminations, and other employment matters.Support corporate governance matters, including entity management, delegated authorities, board and ownership matters, internal approvals, and maintenance of corporate records. Enterprise Risk Management and Compliance Monitor relevant legal and regulatory developments and communicate potential impacts to UNCOMN across leadership, as applicable. Maintain and improve UNCOMN’s enterprise risk management posture with scalable processes, templates, and knowledge-management practices.Develop policies, templates, and training materials to reduce legal risk in support of Operations. Annually review UNCOMN’s insurance policies to validate all contract portfolio obligations are met. Partner with Information Technology and Security on matters involving controlled unclassified information, cybersecurity obligations, data privacy, incident response, and other applicable security requirements.Conduct or oversee internal investigations, in coordination with the appropriate stakeholders, involving potential legal, ethical, contractual, or regulatory concerns and advise on corrective actions or disclosure obligations. Stakeholder Engagement Provide clear, practical, and timely legal advice that reflects the company’s strategic objectives, risk tolerance, and operating environment. Engage and manage outside counsel, including establishing matter objectives, reviewing legal strategy, monitoring budgets, and evaluating performance. Requirements Must have a Juris Doctor from an accredited law school and an active license in good standing from at least one U.S. jurisdiction.5-7 years of relevant related experience. This could include legal experience with a law firm, government contractor, corporate legal department, federal agency, or combination thereof.Experience within defense, logistics, and/or government professional services preferred.
