Associate General Counsel
About the Role
This is an expert-level position driving Ebara Elliott Energy’s (EEEHD) legal services and risk mitigation across the global organization. The role supports and facilitates the strategic business goals of multiple entities, working closely with the EBARA Energy Company Chief Risk Officer on global risk management and integration initiatives.
The position directs and manages primary legal services for Energy Company and its subsidiaries worldwide, acting as a trusted advisor to the Chief Risk Officer. It is critical for optimizing business and economic outcomes in transactions, mitigating risks from both legal and commercial perspectives, and understanding the strategic plan of over 23 corporate legal entities globally.
The individual will play a key role in strategic planning and implementation for the expansion of the business’s global footprint, particularly in acquisitions, operations, capital acquisitions, and ongoing integration matters.
Responsibilities
- Support the Chief Risk Officer with budgeting and expense reduction within the Legal and Risk Management Departments, including managing administrative operations, rational use of outside counsel, oversight of authority limits, settlement considerations, and relevant insurance coverages.
- Provide transaction support, such as facilitating contractual terms (e.g., payment terms for customers) and negotiating payment disputes for Energy Company entities globally.
- Offer legal and strategic business advice to ensure acquisitions and expansion agreements mitigate risk and optimize return on investment.
- Ensure proper contracting in accordance with Company guidelines to protect intellectual property assets and provide skilled legal representation.
- Act as a trusted advisor and business partner for Energy Company worldwide by providing counsel and guidance to accomplish overall business objectives, including transparency, compliance, and efficiency.
- Participate in evolving Energy Company’s integration strategy and influence change.
- Improve legal policies and processes to streamline and simplify Energy Company procedures.
- Work cross-functionally to analyze legal risks, devise creative solutions, and develop strong, trusted advisor relationships with global stakeholders.
- Collaborate with Executive management and other personnel worldwide to address special projects across complex business, legal, and strategic issues.
- Jointly develop and implement acquisitions and divestitures globally.
- Direct and monitor activities of outside counsel to ensure effective representation worldwide.
- Minimize the adverse impact of litigation and claims against the Company, including environmental issues, bankruptcy, and other commercial matters.
- Oversee the preparation of confidentiality agreements to protect Energy Company’s proprietary information globally.
- Ensure Energy Company and its subsidiaries observe legal obligations by maintaining corporate records globally and participating in annual corporate meetings.
- Oversee the management of Energy Company real estate assets to address regulatory compliance, zoning, tax assessment issues, and commercial leasing transactions worldwide.
- Ensure cost-effective and timely provision of appropriate legal support functions.
Requirements
- Doctor of Jurisprudence from an accredited law school.
- Maintain professional license and skills through continuing legal education, business seminars, and professional materials.
- Admitted and in good standing to the Commonwealth of Pennsylvania Supreme Court (no lapse in license).
- At least fifteen (15) years of high-level corporate experience with demonstrated competencies in the following areas of law:
- Contracts
- Intellectual property
- Employment
- Global data privacy implications
- International law matters
- Commercial real estate and leasing
- Litigation
- Mediation
- Global corporate governance
- Knowledge and experience with global anti-corruption laws and regulations, including:
- Foreign Corrupt Practices Act
- United Kingdom Bribery Act
- Japanese Unfair Competition Law
- Dodd-Frank Act (including Conflict Minerals)
- Sarbanes-Oxley provisions
- In-house corporate legal experience is a plus.
- Business savvy with the ability to problem-solve and exercise independent judgment on complex, multinational, multi-jurisdictional transactions.
- Post-acquisition integration experience is desirable.
- Management and supervisory skills, including experience reviewing, drafting, negotiating, and closing a broad range of contracts.
- Facilitate monitoring and implementation of compliance with laws and regulations.
- Excellent organizational skills for managing global responsibilities.
- Ability to independently determine which matters require elevation to the Chief Risk Officer.
- Collaborate with and manage internal and external experts to ensure commercial agreements appropriately manage risk and comply with policies, laws, and regulations.
- Demonstrated experience leading projects, including collecting, distilling, and summarizing issues from relevant stakeholders.
- Excellent verbal and written communication skills, with the ability to speak persuasively, confidently, and effectively to a wide variety of audiences, including executive management and key external stakeholders.
- Proven ability to engage, influence, and align stakeholders.
- Ability to work cross-functionally to analyze legal risks, devise creative solutions, and develop strong, trusted advisor relationships with global stakeholders.
- Comfortable taking the lead on transactions while interacting with internal and external executives on a global basis.
Nature of the Role
This position operates in a dynamic environment where each day presents unique legal and commercial challenges across global jurisdictions. The role requires adaptability, decisiveness, and strong organizational skills to manage multiple legal issues simultaneously and independently.
- Over 80% of the role involves responding to new, unfamiliar, and original situations, as legal and commercial complexities are unique and fact-driven.
- Ability to quickly understand, analyze, and problem-solve complex legal and commercial scenarios on an expedited basis is essential.
- Proactively mitigate risks while delivering creative solutions to internal and external stakeholders.
- Cost control is a key function, including directing and controlling significant expenditures on outside experts, counsel, and consultants.
Internal and External Contacts
- Within Energy Company: Regular contact with all organizational levels globally, including officers, directors, Executive Management, and operational personnel.
- External to Energy Company: Manage and direct outside counsel and consultants to ensure effective global representation.
Travel Requirements
Some travel (10% - 20%), including international, is required.
Supervision
The position includes both supervisory and contributory components:
- Supervisory responsibilities include directing and managing outside counsel globally and providing oversight and direction to colleagues within the Risk Management Department.
- Coordinate with and supervise internal operational and commercial subject matter experts to administer matters within the Risk Management Department.
- Planning is a critical element of the role, essential for effective execution of all job functions.
