The Role
Divert is seeking an Associate General Counsel to join the General Counsel team as the second member of the legal department. This role is high-impact and high-visibility, requiring a senior strategic role within the company. The ideal candidate will work across various business areas, handle both day-to-day legal operations and complex transformational matters.
Responsibilities
Support and, over time, lead work on financings (project finance, corporate finance, and capital raises), M&A and other strategic transactions, working closely with outside counsel and company leadership.
Draft, review, and negotiate a wide range of commercial agreements, including customer and vendor contracts, technology agreements, and partnership arrangements.
Monitor and advise on legal and regulatory matters affecting Divert’s operations in an evolving and often ambiguous regulatory environment, including finance, construction, operations, waste, transportation, and energy production regulations at the federal, state, and local levels.
Serve as a trusted advisor to business teams across the company, providing practical, business-oriented legal guidance on a broad range of issues as they arise.
Direct and manage relationships with outside counsel across practice areas, ensuring efficient use of external legal resources and alignment with business objectives.
Requirements
J.D. from an accredited law school and active membership in good standing in at least one U.S. state bar.
5 to 10 years of legal experience, with a strong foundation in corporate, transactional, and commercial work. A mix of law firm and in-house experience is valued.
Experience with or meaningful exposure to financing transactions, M&A, or capital markets.
Familiarity with the waste, energy, or environmental sectors is strongly preferred. Candidates without direct industry experience should demonstrate a genuine interest in renewable energy or environmental matters.
Comfortable operating as a generalist in a lean legal department, with the ability to seek creative solutions and move quickly between routine tasks and complex, high-stakes projects.
Intellectually curious, resourceful, and resilient, with the judgment to work independently through ambiguity, push past roadblocks, and escalate thoughtfully when needed.
Strong interpersonal skills and a collaborative approach to working with business partners at all levels.
Qualifications
Active membership in good standing in at least one U.S. state bar.
