Associate General Counsel

About the role

The Legal Counsel will safeguard Angel Studios by ensuring compliance with legal guidelines and providing legal advice to management regarding company business affairs and issues. The position is based in Provo, Utah.

Responsibilities

• Draft, review, and negotiate entertainment industry agreements, including film and television production agreements, distribution, licensing, and sales agreements, talent, writer, director, and producer agreements, rights acquisitions and chain-of-title documentation, and advise internal teams on intellectual property, guild, and talent-related issues.
• Advise on clearance matters, guild issues, and other legal concerns related to the production, marketing, and distribution of films and television series.
• Draft and negotiate a wide range of commercial agreements, including vendor, services, SaaS, and technology agreements, marketing, sponsorship, and promotional agreements, NDAs, consulting, and strategic partnership agreements. Develop and maintain contract templates and playbooks.
• Support special projects, strategic initiatives, and transactions as assigned by the Chief Legal Officer.
• Data Privacy and Compliance: Assist with data privacy and regulatory compliance.
• Litigation & Dispute Management: Assist with entertainment law audits and disputes, domestic litigation matters, including commercial disputes, intellectual property matters, employment-related claims. Coordinate with and manage outside counsel, budgets, and litigation strategy. Assist with dispute avoidance, settlement strategy, and pre-litigation risk analysis.

Requirements

• Must attend and contribute to regularly scheduled staff meetings.
• Apply effective risk management techniques and offer proactive advice on possible legal issues.
• Communicate complex legal concepts clearly and effectively to non-legal stakeholders.
• Experience navigating legal issues related to film and television production, including talent agreements, guild compliance, and content distribution.
• Ability to work effectively under pressure and meet tight deadlines in a fast-paced environment.
• High ethical standards and a commitment to integrity in all business dealings and discretion in handling confidential information.
• Proficiency with Microsoft Office Suite (Excel, PowerPoint, Word), Google Suite, and financial data platforms (e.g., Bloomberg, FactSet).

Qualifications

• Education: Juris Doctor (JD) degree from an accredited law school with active membership in good standing with the state bar; admission to practice law in Utah.
• Experience: 5+ years of legal experience with a strong background in entertainment law, corporate law, securities law, and intellectual property.
• Communication: Ability to communicate complex legal concepts clearly and effectively to non-legal stakeholders.
• High-Pressure: Ability to work effectively under pressure and meet tight deadlines in a fast-paced environment.
• Physical Demands: Ability to sit at a desk for prolonged periods of time.
