About the role

The Orlando office of BakerHostetler is seeking a senior associate or counsel with 7+ years of experience to join its Business Group. This role involves handling sophisticated corporate transactions with minimal supervision, with a primary focus on M&A, as well as joint ventures, entity formation, and general corporate and commercial matters.

Responsibilities

  • Handle sophisticated corporate transactions with minimal supervision, with a primary focus on M&A, joint ventures, entity formation, and general corporate and commercial matters.
  • Work closely with the other members of the Orlando Business Group on complex, high-value transactions for clients in a wide range of industries, including hospitality, sports and entertainment, and other national corporate sectors.
  • Take ownership of transactions from start to finish while collaborating across offices on sophisticated, often multi-disciplinary matters involving private equity, debt financing, and public company considerations.

Qualifications

  • Significant experience handling and executing M&A transactions, including structuring deals, managing due diligence, drafting and negotiating purchase agreements and ancillary documents, and overseeing closings.
  • Strong experience with private equity-backed transactions, joint ventures, and entity formation, including drafting LLC agreements and governance documents.
  • Strong experience drafting and negotiating complex commercial agreements.
  • Excellent drafting, negotiation, and client communication skills, with a practical, business-oriented approach.
  • Proven ability to manage client relationships and engagements end-to-end with accountability and ownership.
  • Demonstrated attention to detail, strong work ethic, and commitment to delivering high-quality client service.
  • Ability to collaborate effectively in a team-oriented, group practice environment and mentor junior attorneys.
  • Comfortable with technology.

Preferred Qualifications

  • Experience with debt finance transactions.
  • Background representing hospitality, sports, entertainment, or national corporate clients.
