Associate Corporate Counsel
About the role
We're seeking an Associate Corporate Counsel to support the Legal team at GoGuardian. This role focuses on corporate governance and commercial contracting, with occasional support across all legal functions.
Responsibilities
- Assist with a broad range of corporate governance and transactional matters, such as drafting Board and committee resolutions, managing corporate structure, updating governing documents, capital table management, disclosures and reporting, etc.
- Draft, review, and negotiate a wide variety of commercial agreements with customers and vendors, advising internal stakeholders on contract interpretation, risk mitigation, and compliance.
- Update and maintain GoGuardian’s public-facing terms of service and related policies, and provide advice to product and engineering teams on legal issues like privacy, data security, intellectual property rights, consumer protection laws, and responsible AI, etc.
- Support employment matters as needed, including maintaining and improving form agreements and plans (e.g., offer letters, employment agreements, commission plans, etc.).
- Drive the preparation, implementation, and refinement of legal forms, processes, and procedures to support the legal team’s scalability.
- Keep abreast of applicable laws, regulations, and industry guidance that impact GoGuardian’s agreements and business practices.
- Support the legal team’s needs on a variety of other topics as necessary, including intellectual property, litigation support, and other subject areas as they arise.
Requirements
- 2+ years of experience in a law firm and/or technology company (corporate and/or transactional focus preferred).
- J.D. from a well-regarded law school and an active bar membership in at least one state.
- Knowledgeable about software and technology.
- A practical, business-oriented approach to problem-solving and risk management, with the ability to clearly communicate complex legal issues to business partners.
- Strong drafting and negotiating skills.
- Exceptional organizational skills with proven ability to manage multiple simultaneous projects, balance competing priorities, and work autonomously.
- Eager to learn and grow as an in-house lawyer and take initiative in a fast-paced, ever-changing, dynamic environment.

The typical base salary range for this position is $145,000 - $165,000 per year. The range displayed on this job posting reflects the minimum and maximum target for new hire base pay for this position and your pay will be determined by a variety of factors, including your primary work location, skills, qualifications and experience.
