At UpGuard, we are replacing manual security bottlenecks with AI-driven precision. Fresh off a US$75M Series C, we are scaling our infrastructure to process 100 billion risk signals daily. We build the Cyber Risk Posture Management (CRPM) platform that security teams actually love by integrating security ratings, threat intel, and agentic AI.

About the role

We’re looking for a business-minded Associate Commercial Counsel / Junior Contracts Manager to support our high-velocity sales organization. You’ll manage day-to-day customer-facing negotiations, partner with our North American and EMEA go-to-market teams, and help document, maintain, and modernize our contracting practices. This role is ideal for a pragmatic, globally-minded candidate who thrives in a fast-paced environment and is eager to build broad expertise across commercial transactions, legal operations, and data privacy.

Reporting to the Senior Commercial Counsel, you’ll have direct, hands-on ownership of key commercial responsibilities while receiving continuous 1:1 guidance and mentorship. As a core global resource, you will actively partner with cross-functional business leaders worldwide, delivering high-impact deal and operational support as you rapidly build your commercial legal skill set.

Responsibilities

  • Commercial Deal Execution:
    • Partner with legal and go-to-market teams to drive routine commercial deal flow, primarily supporting North American and EMEA sales teams, with additional global support as needed.
    • Draft, negotiate, and advise on standard B2B SaaS agreements, including NDAs, Master Agreements, DPAs, and channel agreements.
    • Manage legal intake and responses for customer RFPs, vendor forms, and security/legal questionnaires.
    • Maintain and update front-line standard agreement templates to reflect evolving business needs.
  • Contract Life Cycle Management:
    • Serve as the custodian of contract lifecycle management practices, turning baseline contract administration into high-value data stewardship.
    • Perform contract data entry, document auditing, and metadata tagging to build and maintain an accurate, reliable legal repository.
    • Track key post-execution obligations and commercial terms to support corporate reporting, risk tracking, and organizational accessibility.
    • Continuously improve templates, forms, enablement resources, and processes to streamline deals and product/service terms.
  • Legal Operations:
    • Modernize and build scalable tools and resources to keep the commercial legal function efficient.
    • Maintain, build, and refine core contracting assets, including negotiation playbooks, clause libraries, and approval guidelines.
    • Support the development, optimization, and integration of legal workflows and technology stacks (e.g., Ironclad, DealHub, Hubspot, Asana, DocuSign).
    • Assist in the development and training of business teams on legal best practices, processes, and current legal/regulatory matters.
  • Cross-Functional Partnership & Support:
    • Cultivate strong working relationships with Deal Desk, Finance, Revenue Accounting, Sales, and Security teams to align on commercial terms, mitigate business risk, and drive deal velocity.
  • Regulatory & Compliance Support:
    • Stay updated on relevant industry standards, laws, and regulations, including data privacy laws, and establish appropriate corporate policies and processes.
  • Special Projects:
    • Gain exposure to high-visibility strategic legal initiatives, including product legal reviews, privacy compliance, intellectual property, marketing, employment, and corporate governance.

Requirements

  • 2+ years experience drafting, negotiating, and managing end-to-end B2B SaaS transactions and contract lifecycle management at a law firm, in-house, or a combination of both.

Qualifications

What will give you an edge?

  • Experience supporting a SaaS sales organization across U.S. markets and/or internationally.
  • Experience working cross-functionally with finance, revenue accounting, and deal desk teams.
  • Experience using sales and contracting software (e.g., Hubspot, Ironclad, DealHub, DocuSign).
  • Experience working in a fully remote environment.
  • Proximity to our developing hub in Austin, TX (not required).
  • Experience in cybersecurity or a demonstrated appetite to learn.

Benefits

  • WFH set-up allowance to ensure you have the right environment to work in.
  • $1500 USD annual Learning & Development allowance.
  • PTO plus two additional UpGuardian leave days annually.
