Associate - Business

About the role

Taft is looking for a team-oriented Associate to join its Business group specializing in Mergers & Acquisitions and Transactional Risk (Representations & Warranties Insurance).

Responsibilities

• Build a differentiated practice at the intersection of M&A and insurance
• Gain meaningful responsibility and direct access to a high-growth niche industry
• Develop a realistic path toward partnership and origination within an entrepreneurial platform
• Support and help lead underwriting workstreams in transactions representing underwriters placing RWI and other transactional risk products
• Review and advise on transaction documents, including purchase agreements, membership interest purchase agreements, stock purchase agreements, and related ancillary documents, for the purposes of assessing insurance risks
• Translate corporate and real estate legal diligence into findings focused on actual dollar risks from an insurance underwriting perspective

Requirements

• Highly motivated associate with 3–6 years of experience
• Experience in mid-to-large cap M&A transactions
• Experience in transactions involving the sale of real estate portfolios or industries that tend to own or lease significant amounts of real property

Qualifications

• Strong academic background
• Excellent analytical and problem-solving skills
• Ability to manage multiple projects simultaneously
• Strong communication and interpersonal skills

Skills

• Knowledge of representations and warranties insurance and other transactional risk products
• Experience with mid-to-large cap M&A transactions
• Experience with real estate transactions

Pay

The salary range for this position is $225,000/yr. – $325,000/yr. Actual compensation offer to candidate may vary from posted information based on work experience, education, and/or skill level.
