About the role
Conduct legal research and analysis for cross-border corporate projects. Review, draft, and negotiate documents related to corporate transactions.
Responsibilities
- Represent lenders, including private equity funds, public and private corporations, lead arrangers, banks, and other financial institutions on domestic and international project finance deals
- Draft and analyze credit agreements, security agreements, and ancillary documents for project finance transactions
- Review and issue-spot key project documents for renewable energy (wind, solar, or storage) project finance deals
- Work on domestic and cross-border financing transactions, including construction financing, term loan finance, and back-leverage finances
- Negotiate and prepare commitment letters, term sheets, credit agreements, intercreditor agreements, security agreements, control agreements, legal opinions, and other ancillary documents
- Manage deal flow and the closing process, working directly with clients, borrowers, and borrower’s counsel for project finance transactions
Requirements
- Bachelor’s degree in Economics or Finance
- J.D. or LL.M.
- 2 years of experience as a finance Associate in an international law firm, with experience in all of the following (may be gained concurrently):
- Representing lenders on domestic and international project finance deals
- Drafting and analyzing credit agreements, security agreements, and ancillary documents
- Reviewing and issue-spotting key project documents for renewable energy project finance deals
- Working on domestic and cross-border financing transactions (construction financing, term loan finance, back-leverage finances)
- Negotiating and preparing commitment letters, term sheets, credit agreements, intercreditor agreements, security agreements, control agreements, legal opinions, and other ancillary documents
- Managing deal flow and the closing process for project finance transactions
- Admission to the New York Bar
Pay
$365,000 to $390,000 per year
