Associate Attorney

Responsibilities

• Conduct legal research and analysis for cross-border corporate projects.
• Review, draft, and negotiate documents related to corporate transactions.

Requirements

• Bachelor’s in Economics or Finance
• J.D. or LL.M.
• 2 years of experience as a finance Associate in an international law firm working on each of the following:
• representing lenders, including private equity funds, public and private corporations, lead arrangers, banks and other financial institutions on domestic and international project finance deals;
• drafting and analyzing credit agreements, security agreements, and ancillary documents for project finance transactions;
• reviewing and issue spotting key project documents for renewable energy, involving wind and solar power or storage, project finance deals;
• working on domestic and cross-border financing transactions including construction financing, term loan finance, and back-leverage finances;
• negotiating and preparing commitment letters, term sheets, credit agreements, intercreditor agreements, security agreements, control agreements, legal opinions and other ancillary documents;
• managing the deal flow and the closing process, working directly with the client, the borrower, and borrower’s counsel for project finance transactions.

Qualifications

• Experience may be gained concurrently.
• Admitted to the New York Bar.

Pay

$365,000 to $390,000 per year.
