Assistant Counsel, NS Item# 06892

About the Role

Work closely with investment staff on the negotiation and management of investments across all asset classes including public equity, fixed income, real estate, private equity, real assets, absolute return, credit, and opportunistic strategies. Actively participate in the negotiation and/or drafting of all substantive documents and review related legal matters arising in the management of the portfolio.

Responsibilities

  • Negotiate and manage investments across multiple asset classes (public equity, fixed income, real estate, private equity, real assets, absolute return, credit, and opportunistic strategies).
  • Draft and negotiate substantive investment documents.
  • Review legal matters related to portfolio management.

Requirements

  • Admission to the New York State Bar.
  • Minimum of two years of legal practice experience post-admission.

Qualifications

  • Meaningful investment management law experience, particularly in alternative investments.
  • 5+ years of experience in a large corporate law firm and/or in-house, focusing on private investment fund formation and/or mergers and acquisitions.
  • Knowledge of fixed income and public equities investments.
  • Familiarity with corporate, partnership, securities law, and ERISA.
  • Excellent drafting and negotiating skills.
  • Experience working on bespoke investment transactions.
  • Ability to handle multiple matters concurrently while meeting transaction timelines.
  • Strong collaboration skills with investment staff and ability to offer pragmatic solutions.
  • Effective communication with senior legal and business staff, both orally and in writing.
  • Ability to manage outside counsel in a cost-efficient manner.
  • Working knowledge of finance and accounting.
  • Demonstrated ability to work independently and exercise sound judgment.

Schedule

Telecommuting may be supported after an initial 8-week on-site period, with approval up to 5 days per pay period based on operational needs and performance.
